1. Agreement to Terms

By accessing or using the AmatechXoft website and services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access or use our services.

2. Services Description

AmatechXoft provides software development and IT staff augmentation services, including but not limited to:

• Custom software development
• Web and mobile application development
• IT staff augmentation
• AI/ML integration services
• DevOps and cloud solutions
• Consulting and technical advisory services

3. Use of Services

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services.

3.2 Acceptable Use

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe upon the intellectual property rights of others
• Transmit any harmful code, viruses, or malicious software
• Interfere with or disrupt our services or servers
• Attempt to gain unauthorized access to our systems

4. Project Agreements

Specific project terms, deliverables, timelines, and payment terms will be outlined in separate project agreements or statements of work ("SOW"). These agreements will supplement these Terms and take precedence for the specific project.

5. Intellectual Property

5.1 Client Ownership

Upon full payment, all custom-developed code, designs, and deliverables created specifically for you will be owned by you, subject to any third-party licenses or pre-existing intellectual property.

5.2 Our Intellectual Property

Our proprietary tools, frameworks, methodologies, and pre-existing code remain our intellectual property. We grant you a license to use these as necessary for your project.

6. Payment Terms

Payment terms will be specified in your project agreement. Generally:

• Invoices are due within the timeframe specified in the project agreement
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise stated in writing

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of our engagement. This obligation survives the termination of our services.

8. Warranties and Disclaimers

8.1 Service Warranties

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

8.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless AmatechXoft, its employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any rights of another.

11. Termination

Either party may terminate services:

• With written notice as specified in the project agreement
• Immediately for material breach of these Terms
• Upon completion of the project as outlined in the SOW

Upon termination, you remain responsible for payment of all services rendered up to the termination date.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good faith negotiation, and if necessary, through binding arbitration or in a court of competent jurisdiction.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with any project agreements or SOWs, constitute the entire agreement between you and AmatechXoft regarding the use of our services and supersede all prior agreements and understandings.
